Terms of Service

Please read these Terms of Service carefully before using any LabTether software, including the hub, the iOS companion app, and the macOS menu bar agent (collectively, the “Software”). By installing or using any part of the Software you agree to be bound by these terms.

1. Acceptance Of Terms

By downloading, installing, or using any component of LabTether you agree to these Terms of Service. If you do not agree, you must not use the Software. If you are using LabTether on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. License Grant

LabTether consists of two distinct components with separate license terms:

• LabTether Hub (open source): The hub software, including the control plane, agents, and associated tooling published in the open-source repository, is licensed under the Apache License, Version 2.0. You may use, modify, and distribute the hub in accordance with that license.
• Native Companion Apps (proprietary): The iOS companion app and the macOS menu bar agent are proprietary software. Subject to payment of any applicable fees and your compliance with these terms, LabTether grants you a limited, non-exclusive, non-transferable, revocable license to install and use the companion apps solely for your personal or internal business use. You may not copy, modify, distribute, sell, or sublicense the companion apps.

Nothing in these terms restricts rights granted to you by the Apache License 2.0 with respect to the open-source hub components.

3. Acceptable Use

You agree to use LabTether only for lawful purposes and in accordance with these terms. You must not:

• use the Software to access, monitor, or control infrastructure you do not own or have explicit authorization to manage
• reverse-engineer, decompile, or disassemble the proprietary companion apps except to the extent permitted by applicable law
• use the Software to circumvent security controls, gain unauthorized access, or conduct any activity that violates applicable laws or regulations
• redistribute or resell the proprietary companion apps or provide access to them as a hosted service without a separate written agreement
• remove, obscure, or alter any proprietary notices or labels on the Software

4. Self-Hosted Deployment And Operator Responsibilities

The LabTether hub is designed to run on infrastructure you control. As an operator you are solely responsible for:

• the security, availability, and integrity of your deployment environment
• configuring appropriate authentication, access controls, and network policies
• ensuring your deployment complies with applicable laws, including data-protection regulations relevant to the data you process
• obtaining any necessary consents from individuals whose data may be processed through your hub
• backup, recovery, and data-retention practices

5. Intellectual Property

LabTether and its licensors retain all intellectual property rights in the proprietary companion apps and in any LabTether branding, marks, and documentation not covered by an open-source license. Your use of the Software does not grant you any ownership interest in those rights.

6. Privacy

Use of LabTether is also governed by the LabTether Privacy Policy, which is incorporated into these terms by reference. Because the hub is self-hosted, most data you process through it remains on your own infrastructure and under your control.

7. Updates And Changes

LabTether may release updates to the Software from time to time. Updates to the hub distributed under the Apache 2.0 license are governed by that license. Updates to the proprietary companion apps are subject to these terms. LabTether reserves the right to modify or discontinue any component of the Software at any time without notice.

8. Disclaimers

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LABTETHER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SOFTWARE.

9. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LABTETHER OR ITS CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless LabTether and its contributors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Software, your violation of these terms, or your violation of any rights of a third party.

11. Governing Law And Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Australia. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Australia.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12. Changes To These Terms

LabTether reserves the right to update these Terms of Service at any time. When changes are made, the “Last updated” date at the top of this page will be revised. Your continued use of the Software after any change constitutes your acceptance of the new terms.
